Recap - RJG at the Business Law Institute

The Closely-Held Business Committee Presents at the Business Law Institute in Philadelphia

The Closely-Held Business Committee of the Business Law Section of the Pennsylvania Bar Association, which is chaired by our own Paul Rushton, presented a trio of seminars at the Business Law Institute in Philadelphia last Friday.

The presentations addressed the options available to closely-held business owners who are approaching retirement. Our own Lee Piatt, who is a member of the Committee, gave a presentation focused on the succession planning techniques that are available to a closely-held business owner who desires to transition ownership and/or management of his or her business to family members and/or existing employees of the business.

A second presentation, given by Paul, highlighted the issues to be addressed by a closely-held business owner in preparing for, and ultimately consummating, a sale of his or her business to an outside party.

The final presentation identified the advantages of an ESOP for a retiring closely-held business owner.

Utilizing the Calm before the Storm – Suggested Steps to be taken in Advance of the Sale of a Closely-Held Business

The sale of a closely-held business is typically one of the most important and stressful events in a business owner’s life.  The dual challenge of addressing the requirements of selling a business while continuing to operate the business in its ordinary course can perhaps best be described as being in the “eye of a storm.”  This can be particularly true for a closely-held business that is managed by a small number of individuals without the assistance of in-house counsel and/or accountants. However, by taking the following steps before embarking on the sale process (or, in the “calm” before the “storm”, if you will), the owners and managers of a closely-held business can reduce the level of anxiety attendant upon a future sale of the business and minimize the prospects of incurring liability in connection with the sale:

On Thursday, August 22, Lee S. Piatt, Esq., a Partner in our Business & Finance Department, and accountant Anthony J. Attorney Lee Piatt gave presentation at PA Bar Institute

On Wednesday, November 7, 2018, Lee Piatt, a partner in our Business and Finance Department, gave a presentation at the Pennsylvania Bar Institute Business Law Institute 2018 in Philadelphia on the topic of ”Owner Disputes in Privately Held Entities in Pennsylvania.”

Specific matters covered in the presentation included avoiding disputes through proper planning, identifying the legal issues in a dispute, obtaining information from the entity, and resolving the dispute through a buyout.

Attorneys Nick Marinelli and Tim Cotter gave presentation at Wilkes University

On Friday, September 21, 2018, Attorneys Nick Marinelli and Tim Cotter, both associates in our Business & Finance Department, gave a presentation to the students of the “Nature and Essence of Entrepreneurship” class at Wilkes University, taught by Professor Jerry Ephault.

The presentation covered the corporate aspects and tax implications of entity selection for young entrepreneurs seeking to start a business around their unique ideas.

Jim Valentine Makes Presentation on Sexual Harassment to Family Business Alliance

On Thursday, September 13, 2018, Jim Valentine, Chair of the Labor and Employment Law Practice Group, along with Kimberly Wylam of Baker Tilly Vantagen, made presentations to regional family-owned businesses at Penn State Scranton and Wilkes University on the topic of Sexual Harassment Awareness: Myths & Reality.  This seminar was sponsored by the Family Business Alliance of Wilkes University/Penn State Scranton.  Specific matters covered in the presentations included: What is unlawful sexual harassment; what are the ramifications of the #METOO environment; and, what is the impact of social media and millennial attitudes in the workplace?

Rosenn, Jenkins & Greenwald, LLP presented a seminar at the THINK Center in downtown Wilkes-Barre

Attorneys from Rosenn, Jenkins & Greenwald, LLP presented a seminar titled “Practice Tips for Properly Structuring and Conducting Effective Internal Corporate Investigations” at the THINK Center in downtown Wilkes-Barre.

The presentation described the increased usage of internal corporate investigations in recent years by management and legal counsel for organizations to identify and address corporate malfeasance or other wrongdoing in the board room or the workplace. The presentation outlined the investigative process that is typically utilized for such purpose and suggested tips for properly structuring and conducting an effective internal corporate investigation.

The presenting attorneys included: Paul Rushton, the Chair of the firm’s Business and Finance Department; James Valentine, the Chair of the firm’s Labor Department; and Michael Sowinski, a former Luzerne County Assistant District Attorney and a member of the firm’s Litigation Department.
