Bruce C. Rosenthal, a Partner of the Business & Finance Department, who represents clients in acquisitions, divestitures and private placements, made a presentation at the February 4, 2009 Skill Builder Program hosted by the King’s College Family Business Forum on the subject of M&A Growth Opportunities. He discussed current trends in M&A deal terms, emphasizing that an understanding of what terms are available in the marketplace is crucial to negotiating the best deal. Beyond price, buyers and sellers need to focus on the proper allocation of risk for problems that may arise or be discovered after the closing. The presentation materials contained illustrations of what terms are “market” for a seller’s representations, warranties and indemnities, as well as points on assembling a strong deal team and organize the process for success.
