PRACTICE
Tim Maloney is a member of the Business and Finance Department. His principal practice is in the representation of corporations and businesses in a wide variety of corporate transactions and business matters. Utilizing the experience and expertise developed in New York City and Washington, D.C., Tim has represented and advised businesses, limited liability companies, partnerships and corporate clients in all stages of development. He frequently works with entrepreneurs and start-up companies in the formation and expansion of their businesses. He also provides guidance to growth-stage companies in raising funds through private placements of debt and equity securities. Additionally, Tim assists individuals and companies in the development of exit strategies and dissolution. His expertise covers a broad array of corporate transactions and contract negotiations including mergers, acquisitions, joint ventures, private placements of stocks and bonds, divestitures, compliance and other general business and contract matters. He has also formed and worked with hedge funds and companies focused on purchasing privately held stock in companies such as Facebook, Twitter, LinkedIn and other private companies.
Tim received his Bachelor of Science in Business Administration degree from Villanova University in 1998, and his Juris Doctor degree from the Catholic University of America, Columbus School of Law in 2003. Tim grew up in Dunmore, Pennsylvania and returned to Northeast Pennsylvania to join the firm in June of 2010. Prior to that, he practiced in a corporate securities firm in New York City and at a start-up company in Washington, D.C.
REPRESENTATIVE TRANSACTIONS
- Counseled numerous companies, corporations and investment banking firms in private placements ranging from $100,000 - $25 million of common and preferred stock, convertible securities, bonds and limited liability company interests in social media and networking, technology, healthcare and biotech, and other developmental and growth industries.
- Represented the seller in the sale of the assets of a multi-location retail shoe company in excess of $5 million to a publicly traded franchise brand management company.
- Represented the buyer in the purchase of assets, including related intellectual property and licensing rights of a highway construction company.
- Advised and assisted an education technology company to complete a merger with a competitor, and provided for post merger employment agreements and earn out provisions.
- Drafted formation and operating documents and agreements for limited liability companies, partnerships and corporations in a wide variety of industries including numerous entities formed in connection with the Marcellus Shale natural gas formation.
